Affiliates Agreement:
By completing and submitting our registration form,
you are entering into a legal agreement with
Lookfeed.com , which contains all of the terms and
conditions below and governs your participation in
the Lookfeed.com Search Engine.
1. Definitions
For purposes of this Agreement, the following terms
will have the indicated meanings:
Lookfeed Deletes all accounts that haven't been
active in 30 days.
Search Box: Lookfeed.com s graphical element
containing the Lookfeed.com Logo, in which users enter
search queries in order to receive Search Results.
Search Results: All Web pages displaying Lookfeed.com
's search results, as depicted, including one or more of
the Lookfeed.com Marks, in a manner and format
determined by Lookfeed.com in its sole discretion.
Member: The name of the company or individual or
other corporate entity provided in the registration
form. Member's
Web Site: The pages of Member site, as indicated in
Member's registration form "Site URL."
Click-Through: When a user of Member's Web Site
clicks the link to an advertisers site and a valid
search request is received at our Search Engine.
2. Grant of License
Subject to the terms and conditions of this
Agreement, Lookfeed.com grants to Member a limited,
non-exclusive, non-assignable, non-transferable,
non-sub-licensable royalty-free license during the term
of this Agreement to place a Search Box (es) and display
the Search Results on Member's Web Site; and display the
Lookfeed.com Marks solely in connection with the
exercise of Member 's rights under this Agreement.
Member shall apply, use, and reproduce at least one
of the Search Boxes, in the size, place, and manner
Lookfeed.com may indicate from time to time, on Member
's Web Site. Member shall display such Search Boxes and
Search Results and Lookfeed.com Marks only in a manner
that complies in all material respects with Lookfeed.com
's policies in effect from time to time, and with the
Lookfeed.com Usage Guidelines, and as modified from time
to time by Lookfeed.com in its sole discretion.
Member acknowledges that all right, title and
interest in the Search Box (es), Search Results and the
Lookfeed.com Marks are exclusively owned by Lookfeed.com
and/or its licensors, and that no right other than the
limited license granted herein is provided to Member.
Member shall not assert copyright ownership or other
intellectual property ownership or other proprietary
rights in the Search Box (s), Search Results or the
Lookfeed.com Marks, or in any element, derivation,
adaptation, variation or name thereof.
3. Lookfeed.com Responsibility
Lookfeed.com shall provide Member with a Search Box
(es) that will enable a user of Member's Web Site to
type in a search query that will produce the Search
Results. Lookfeed.com shall provide the Search Results
on Members Web Site in a manner and format determined by
Lookfeed.com in its sole discretion.
Lookfeed.com will provide Member with a User Name and
password to access an on-line tool to view information
about the number of clicks that were generated from a
Member& Lookfeed.com s web site and the associated
commission earned. Member understands and agrees that
Lookfeed.com pays commissions based only on valid
clicks, or advertiser site visits.
4. Members Responsibility
Member shall enable users of Member's Web Site to
enter search queries at a Search Box(s)
Member will not use illegal means like free proxy
servers, spiders, scripts to send traffic to our site.
You are not allowed to search and click on highest
bids in search engine just to earn money.
Member will not change the Search Box (es), Search
Results or the Lookfeed.com Marks or any other material
that may be licensed to Member without Garden Search.com
's prior written approval.
Member agrees that it is Member's responsibility to
install the Search Box provided to Member as part of
this agreement according to the specific instructions
provided by Garden Search.com . Lookfeed.com will not be
liable for the failure of Member to implement correctly
the Integrated Search Program.
Member shall not solicit any Lookfeed.com advertiser
or client without the prior written approval of
Lookfeed.com .
Member agrees that it is solely responsible for the
development, maintenance and operation of Member's Web
Site and for all materials and content that appears on
Member's Web Site
Member may not reference Lookfeed.com in any way
without first receiving written consent from
Lookfeed.com .
5. Compensation
Lookfeed.com will only pay any commission, referral
income and bonus money if we are successful in getting
advertisement. We are not liable to pay any Member
without getting paid by advertisers. Commissions are
directly related to the advertising revenue generated by
Lookfeed.com .
Member must be an active member to get your monthly
commission from us.
We will track all Member& Lookfeed.com ;s referrals
and their commission. Lookfeed.com will have full
authority to make final decision in this regard.
Member& Lookfeed.com ;s commissions shall be paid by
Paypal, Company check E-gold. We may add new mode of
payments in future.
Members will be paid 85% of the bid value for
searches made using Lookfeed.com from their sites and
using text links and from time to time we may increase
this revenue sharing percentage. Members will also be
paid 5% (2 levels) of the earning made by the members
referred by them.
Members will be paid within 20 days after the end of
each month, as long as their account balance exceeds the
minimum amount of $35.00. I will also payout random
payouts throught out the month even if you didn't reach
payout.
Lookfeed.com will forfeit any cash balance in the
Member account without prior notice if Member is found
cheating, fraud or violating terms and conditions.
6. Limitation of Lookfeed.com Liability
In no event shall Lookfeed.com liability arising out
of this Agreement exceed the net amount payable to
Member under this Agreement during the two (2) months
prior to the date of such cause. Lookfeed.com shall not
be liable hereunder by reason of any failure or delay in
the performance of its obligations on account of
strikes, shortages, riots, insurrection, fires, flood,
storm, explosions, earthquakes, Internet outages, acts
of God, war, governmental action, or any other cause
that is beyond the reasonable control of Lookfeed.com .
7. Changes to Agreement
Lookfeed.com may change this Agreement at any time
upon publishing a notice in Lookfeed.com . Any use of
the Intellectual Property after such notice shall be
deemed to be continued acceptance of this Agreement
including its amendments and modifications.
8. Relationship of Parties
This Agreement shall not be construed to create a
joint venture or partnership between the parties.
Neither party shall be deemed to be an employee, agent,
partner or legal representative of the other for any
purpose and neither shall have any right, power or
authority to create any obligation or responsibility on
behalf of the other.
9. Miscellaneous
The term of this Agreement shall commence on the date
Member agrees to the terms and conditions of this
Agreement and shall continue in force for a period of
one-year thereafter, unless earlier terminated as
provided herein. This Agreement will renew automatically
for successive one-year periods until expiration of the
commercial usefulness of the Search Results, until
either party gives written notice to the other party of
its intent not to renew no less than thirty (30) days
prior to the end of the previous one-year period, or
until terminated.
10. Disclaimer
You hereby agree to indemnify and hold us harmless
against any and all claims, actions, demands,
liabilities, losses, damages, judgments, settlements,
costs, and expenses (including reasonable attorneys'
fees) (any or all of the foregoing hereinafter referred
to as insofar as such Losses.
11. Traffic
We only accept traffic from Australia, Austria,
Belgium, Canada, Denmark, Finland, France, Germany,
Greece, Iceland, Italy, Netherlands, New Zealand,
Norway, Spain, Sweden, Switzerland, United Kingdom &
United States.. All International Members may join as
long as they meet our terms. No proxies what so ever.
12. Forums
No advertising our portal on the Forum, no trading or
begging for searchs. any member found begging for sear
chs will have thier account terminated. |
